AbbVie announced a definitive agreement to acquire Apogee Therapeutics in an all-cash transaction valued at approximately $10.9 billion, a move the manufacturer said adds to its immunology pipeline and strengthens its presence in inflammatory diseases such as atopic dermatitis (AD).

Under the terms of the agreement, Apogee shareholders will receive $135.11 per share in cash. The transaction, unanimously approved by the boards of both companies, is expected to close in the third quarter of 2026. The deal adds zumilokibart (APG777), a half-life extended monoclonal antibody targeting IL-13 currently in late-stage development for atopic dermatitis (AD). According to the companies, Phase 2 data show clinically meaningful improvements in skin clearance, itch reduction, and disease control, with approximately two-thirds of treated patients achieving significant skin clearance at 16 weeks.
Atopic Dermatitis and Asthma Assets Drive Strategic Expansion
Apogee’s pipeline also includes APG273, a combination of zumilokibart and APG333, an anti-thymic stromal lymphopoietin (TSLP) antibody being developed for asthma. The companies highlighted the potential for extended dosing intervals based on early clinical data demonstrating prolonged suppression of type 2 inflammatory biomarkers.
