Galderma announced an agreement to acquire ZO Skin Health for $1.5 billion, a move it says will expand its dermatological skincare business and strengthen its presence in the physician-dispensed skincare market.
According to a company press release, the all-cash transaction will transfer full ownership of ZO Skin Health from shareholders including funds managed by Blackstone Tactical Opportunities and the Obagi family. The acquisition is expected to close in Q4 of 2026 or early 2027, pending egulatory approvals and customary closing conditions.
Acquisition Expands Galderma’s Dermatological Skincare Business
According to the statement, the acquisition will add ZO Skin Health’s retinol- and acid-based daily skincare regimens to Galderma’s existing portfolio, which includes Cetaphil and Alastin. While ZO Skin Health focuses on daily skincare protocols, Alastin primarily offers peptide-based products for pre- and post-procedure skincare. Galderma plans to increase commercial investment during its first year of ownership, with renewed growth anticipated beginning in the second year.
“This acquisition is another important step towards building the world's most innovative dermatology portfolio, strengthening our offering in an area where we already have significant capabilities,” said Flemming Ørnskov, MD, MPH, chief executive officer of Galderma, in the press release.
